These terms and conditions describe the rules and regulations for the use of QuéLey.
Welcome to QuéLey, an online platform developed by the software company ORSOF S.A.S., dedicated to facilitating the consultation of current regulations specific to each country. By accessing and using QuéLey, you agree to fully comply with these terms. For this reason, we request and recommend that you carefully read the following terms and conditions of service use and contact us with any questions at the email: info@queley.com.
Acceptance by the User
By using our services, you agree and commit to comply with all the conditions stipulated in this document. The use of the services and/or registration on the QuéLey website implies your acknowledgment and consent to the terms set forth herein. QuéLey reserves the right to modify these conditions and notify you in a reliable manner.
Service Features
QuéLey offers an advanced platform for consulting current regulations using artificial intelligence to provide accurate and up-to-date answers. The subscription is flexible, with monthly, semi-annual, or annual payment options. The platform operates through an interactive chat, simulating a consultation with a regulatory expert. Our service does not replace the work of a lawyer or legal professional, but is designed to complement it, acting as a support tool. Taking advantage of the rise of artificial intelligence and after an extensive training period, our platform is optimized for use, providing effective and reliable assistance.
User Registration
To access the services of QuéLey, the User must register at www.queley.com. Upon registering, the User will provide their personal data in accordance with the current data protection laws of their country. This data will be stored securely. It is the User's responsibility to protect their password and notify QuéLey of any unauthorized use of their account or phishing attempts that may compromise their information.
The data provided by the User is stored under strict security standards using the services of QuéLey for this purpose. To prevent fraudulent actions, the User must inform QuéLey about any message they receive or website they visit, other than www.queley.com, that requests their password.
QuéLey has adopted standardized and relevant security measures, based on the "best practices" of using Information and Communication Technologies (including logical security, privacy policy, database security, servers, etc.), providing reasonable assurances that these controls exist and function effectively. However, QuéLey is not responsible for any potential breach or security violation resulting from the User not properly protecting and safeguarding their password and username, having lost such information or mobile device, being a victim of theft, or having shared it with other people and/or users.
Obligations of the Supplier
- Continuous and Stable Access to the Service: QuéLey is committed to providing continuous and stable access to its platform, ensuring that users can consult the current regulations at any time. While all efforts will be made to avoid interruptions, QuéLey will notify users of any scheduled maintenance or service interruption as soon as possible.
- Constant Update of the Database: QuéLey is committed to keeping its database updated with current legislation, incorporating any new regulations, modifications, or repeals within a reasonable time frame from their official publication. We have a team of legal professionals who oversee and ensure that the information is correct and up to date.
- Personal Data Protection: QuéLey guarantees the protection of users' personal data –as stipulated in clause 3– in compliance with applicable laws and regulations regarding privacy and data protection.
- Technical Support and Customer Service: If the subscription chosen by the user includes technical support, QuéLey commits to providing technical support and customer service efficiently, addressing inquiries and resolving technical issues that users may encounter while using the platform. Support will be available during specified hours, according to the subscription chosen by the user, and will be provided through clear and accessible communication channels.
- Transparency in Subscription and Billing: QuéLey is committed to providing clear and transparent information about subscription plans, pricing, and billing. Users will be informed in advance of any changes to rates or subscription terms.
- Quality and Accuracy of the Provided Information: QuéLey is committed to offering accurate and high-quality information, using trained artificial intelligence to provide reliable answers. Additionally, our team of legal professionals supports and verifies the accuracy of the database. While the utmost effort is made to ensure the accuracy of the information, users are advised to verify critical data before making decisions based on it.
- Limited Liability: QuéLey will acknowledge its liability in case of breach of the obligations set forth in these terms, limited to direct and verifiable damages caused by such breach. However, it will not be liable for indirect, incidental, special, or consequential damages arising from the use or inability to use the platform.
User Obligations
- Compliance with the Terms and Conditions: The user agrees to read, understand, and comply with all the terms and conditions set forth by QuéLey. Using the platform implies acceptance of these conditions in their entirety.
- Proper Use of the Service: The user must use QuéLey responsibly and appropriately, exclusively for purposes permitted by law and in accordance with the service's terms of use. They must not use the platform for illegal, fraudulent activities or those that harm its operation.
- Registration and Accuracy of Information: The user agrees to provide truthful, complete, and up-to-date information. They will be responsible for maintaining the confidentiality of their account and password, as well as all activities that occur under their account.
- Subscription Payment: The User is responsible for keeping payment information up to date and resolving any issues related to subscription charges.
- Personal Property of the Subscription: The subscription to QuéLey is unique and personal, and cannot be assigned, transferred, or shared with third parties without the express consent of QuéLey. The user is responsible for maintaining the confidentiality of their account and not allowing others to access it.
- Unauthorized Use Notification: The user must immediately notify QuéLey of any unauthorized use of their account or any other security breach. QuéLey will not be liable for any damages resulting from the user's failure to comply with this obligation.
- Information Verification: Although QuéLey strives to provide accurate and up-to-date information, the User is responsible for verifying critical data before making decisions based on the information obtained through the platform.
- Compliance with Laws and Regulations: The User agrees to use QuéLey in accordance with all applicable laws and regulations, and not to take any action that may damage, disable, overload, or harm the service.
- Responsibility for the Use of the Service: The User accepts all responsibility arising from the misuse of QuéLey.
Subscription price
In consideration for the service provided, the User agrees to pay the price according to the terms and conditions of the selected plan, an amount and conditions that they declare to know and accept.
Upon payment of each installment, the Provider will issue and deliver the corresponding invoice to the User.
Failure to pay the price enables the Provider to block the User's access to the System by revoking permissions.
Price update
The rates will be updated semi-annually in January and July according to the following parametric formula: twenty-five percent of the variation of the US dollar (25% U$D) and seventy-five percent of the variation of the Consumer Price Index (75% CPI).
The Provider agrees to send the updated price list during the months of January and July of each year to the User's email address indicated in the application forms.
The Provider reserves the right to carry out individual or general promotions and/or discounts for users or future users on the price of the plans, without any right to claim by the User.
Deadline and Renewal
The duration of the subscription to QuéLey will be determined by the payment plan selected by the user at the time of subscription. Users can choose to pay for their subscription monthly, semi-annually, or annually. The subscription will automatically renew at the end of the corresponding subscription period under the same conditions, unless the user cancels their subscription in advance according to the established terms and conditions. In the event of cancellation, access to the service will remain valid until the end of the current subscription period.
Termination
The Provider may terminate this Contract at its sole discretion at any time, without the need for cause, without any liability on its part, and without any obligation to compensate for any reason, notifying the User of its intention in this regard by email with a notice period of 30 (thirty) calendar days prior to the effective termination date.
The user has the right to terminate their subscription to QuéLey at any time, without the need to provide a justification. The termination of the subscription will take effect at the end of the current subscription period and will not generate refunds or credits for unused time in the current subscription period. To exercise their right of termination, the user must follow the cancellation procedure established by QuéLey, through the website. Once the cancellation request is processed, the user will receive a confirmation via email. It is the user's responsibility to cancel their subscription before the automatic renewal date to avoid additional charges.
Serious breach
Either party may terminate this contract in the event of a serious breach of obligations by the other party. Failure to pay the installments may be considered a serious breach for these purposes.
Limitation of Liability
QuéLey acknowledges that this platform does not replace the work of a legal professional. Therefore, any decision made based on the information provided by QuéLey is the sole responsibility of the user. QuéLey will not be liable for any indirect, incidental, special, or consequential damages arising from the use of the service, including any loss of profits, income, data, or loss of business opportunities.

QuéLey may contain links to other websites operated by third parties. These links are provided solely for your convenience. QuéLey does not control these sites and is not responsible for their content.
Confidentiality
The parties agree that all information accessed in compliance with these Terms and Conditions is protected by professional secrecy, remaining confidential even after the validity of the same has ended.
Independence of the Parties
The User expressly states that these Terms and Conditions bind autonomous and independent legal entities and that there is no type of subordination or labor dependency between them, so each is responsible to the tax collection agencies for their own tax obligations and those of the personnel assigned by them.
Jurisdiction and applicable law
The parties expressly agree to submit any conflict or dispute arising from this contract or its interpretation and execution to the courts and tribunals of the Oriental Republic of Uruguay, expressly waiving any other jurisdiction.
Electronic Signature
The acceptance of these terms by the User is considered an electronic signature with all legal effects.
Divisibility
If any provision of these terms and conditions is deemed invalid, illegal, null, or unenforceable for any reason, such provision shall be considered separable from the remaining terms and shall not affect the validity and enforceability of the remaining provisions. The parties agree that any invalid, illegal, null, or unenforceable provision shall be replaced by a provision that closely reflects the original intent of the parties and mirrors the same economic effect as the original provision.
Notifications
The reliable means of communication between QuéLey and the User will be through the publication of notices on the QuéLey website or the sending of notifications via email to the email address provided by the User at the time of registration. Notifications will be considered effective at the time they are published on the website or sent via email, as applicable. The User is responsible for keeping their email address updated in their QuéLey account to ensure timely receipt of notifications.
